Legal terms and conditions for using CheckPoint emergency communication system.

Important Notice
CheckPoint is an emergency communication tool designed to assist in safety situations. It is not a replacement for official emergency services. Always contact local emergency services (911, 999, 112, etc.) in immediate life-threatening situations.
1. Acceptance of Terms & Eligibility
Agreement to Terms
By accessing or using CheckPoint ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and Aegis Mark 1 ("we," "us," "our").
Age Requirement (16+ Years)
You must be at least 16 years old to create an account and use CheckPoint. By using the Service, you represent and warrant that you are 16 years of age or older. We do not provide the Service to individuals under 16 years of age.
Capacity to Contract
You represent that you have the legal capacity to enter into a binding contract. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Geographic Availability
CheckPoint is available worldwide. However, you are responsible for compliance with local laws and regulations in your jurisdiction. The Service is governed by French law.
2. Service Description
CRITICAL: NOT A 911/112 REPLACEMENT
CheckPoint is an emergency COMMUNICATION tool, NOT an emergency RESPONSE service. In life-threatening emergencies, ALWAYS contact official emergency services first (911 in US, 112 in EU, 999 in UK, etc.). CheckPoint notifies your personal contacts; it does NOT dispatch police, fire, or medical services.
What CheckPoint IS
CheckPoint is a safety communication platform that helps you:
- Create timed check-in protocols with automatic emergency alerts if you miss check-ins
- Share your location with trusted contacts when needed
- Set up heartbeat monitoring for ongoing safety situations
- Configure escalation workflows for different emergency scenarios
- Store encrypted emergency packages (documents, instructions, credentials) for contacts
- Automate safety communication workflows
What CheckPoint IS NOT
CheckPoint is NOT:
- A replacement for 911, 112, 999, or any official emergency services
- A guarantee that help will arrive or that contacts will take action
- A monitoring service with human operators
- An emergency response dispatch service
- A medical alert system with professional monitoring
- A guarantee of email/SMS delivery (depends on third-party infrastructure)
Service Availability (Best Effort)
We provide the Service on a "best effort" basis. While we strive for high availability, we do NOT guarantee 100% uptime. The Service depends on email infrastructure, database infrastructure, internet connectivity, GPS systems, cellular networks, and other technologies outside our control. Service interruptions may occur.
3. User Responsibilities
Accurate Information
You are responsible for maintaining accurate emergency contact information, locations, schedules, and protocol configurations. Outdated or incorrect information may prevent contacts from receiving alerts or responding appropriately.
Regular Testing Recommended
We strongly recommend testing your protocols periodically to ensure they work as expected. Test with your emergency contacts to verify they receive notifications and understand how to access emergency information. Test yourself, with your own email, as well.
PIN Security (Your Responsibility)
You are solely responsible for keeping your PIN secure. Do NOT share your PIN with unauthorized individuals. If you lose your PIN, encrypted data CANNOT be recovered due to our zero-knowledge encryption architecture. Store your PIN securely offline.
Account Security
CheckPoint uses one-time password (OTP) authentication for secure access. Keep your login credentials secure. Do NOT share your account credentials. You are responsible for all activity on your account.
Appropriate Use Only
Use CheckPoint only for legitimate emergency communication and safety purposes. Do not use the Service for frivolous, testing (without notifying contacts), or malicious purposes.
Contact Consent Required
When you add emergency contacts, they receive an invitation through the app requiring explicit acceptance or refusal. Contacts must actively accept their role as an emergency contact before they can receive alerts. This ensures full transparency and consent. Do not add contacts without their knowledge or willingness to participate in your safety protocols.
Legal Compliance
You must comply with all applicable laws and regulations in your jurisdiction when using the Service. This includes data protection laws, privacy laws, and communication regulations.
Prohibited Uses
- False Emergency Alerts: Sending intentionally false or fraudulent emergency alerts
- Harassment or Abuse: Using the Service to harass, threaten, or abuse others
- Unauthorized Access: Attempting to hack, compromise, or bypass security measures
- Credential Sharing: Sharing account credentials or PINs with unauthorized users
- Illegal Activities: Using the Service for any illegal purpose
- Automated Scraping: Using bots or automated systems to scrape or abuse the Service
- Service Disruption: Attempting to disrupt, overload, or damage the Service infrastructure
- Spam or Abuse: Sending unsolicited communications or abusing email/SMS systems
4. Disclaimers & Limitations of Liability
NO WARRANTY - SERVICE PROVIDED "AS IS"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
NO GUARANTEE OF DELIVERY
We do NOT guarantee that emergency notifications will be delivered, received, or acted upon. Email and SMS delivery depends on third-party infrastructure (Resend, email providers, cellular networks) outside our control. Messages may be delayed, filtered as spam, blocked, or lost.
TECHNOLOGY DEPENDENCIES
The Service depends on technologies outside our control: GPS systems (may be inaccurate or unavailable), internet connectivity (may fail), cellular networks (may be congested or down), email infrastructure (may reject messages), power systems (may fail), and user devices (may malfunction). We are NOT liable for technology failures.
THIRD-PARTY SERVICE FAILURES
We are NOT liable for failures or disruptions caused by third-party services: Stripe (payments), Resend (email), Mapbox (maps), Supabase (database), Vercel (hosting), GitHub (code), or any other service provider. Their failures may impact CheckPoint availability.
USER ERROR & MISCONFIGURATION
We are NOT liable for user errors including: wrong contact information, incorrect schedules, missed check-ins, forgotten PINs, misconfigured protocols, untested workflows, or failure to update information. You are responsible for proper configuration and testing.
EMERGENCY CONTACT ACTIONS
We are NOT liable for actions (or inactions) taken by your emergency contacts after receiving alerts. Contacts may not respond, may respond incorrectly, may misinterpret information, or may be unable to help. We do NOT control or monitor contact behavior.
DATA LOSS - ZERO-KNOWLEDGE ARCHITECTURE
If you lose your PIN, encrypted data CANNOT be recovered. This is an inherent limitation of zero-knowledge encryption. We do NOT have access to your encryption keys and CANNOT decrypt your data. Store your PIN securely offline. We are NOT liable for data loss due to lost PINs.
NO LIABILITY FOR CONSEQUENTIAL DAMAGES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF LIFE, PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR ANY OTHER DAMAGES ARISING FROM USE OF THE SERVICE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LIABILITY CAP
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED EUROS (€100). THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
FORCE MAJEURE
We are NOT liable for delays or failures caused by events beyond our reasonable control including: natural disasters, wars, terrorism, pandemics, government actions, labor disputes, internet outages, power failures, cyberattacks, or other force majeure events.
5. Pricing, Billing & Refund Policy
Free Tier & Paid Plans
CheckPoint offers a free tier with limited features and paid subscription plans (monthly or annual) with additional capabilities. Feature limits and pricing are displayed on our pricing page and may change with 30 days' notice.
Automatic Renewal
Paid subscriptions automatically renew at the end of each billing period unless you cancel. You will be charged using your payment method on file. Stripe handles payment processing.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation is effective at the end of the current billing period. You will retain access until the paid period ends. Stripe manages the cancellation workflow.
NO REFUNDS - All Sales Final
ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. We do not provide refunds or credits for partial months/years, unused time, or dissatisfaction with the Service. When you cancel, you can continue using paid features until the end of your billing period, but no refund will be issued.
Exception: If the Service experiences catastrophic failures exceeding any published SLA, we may provide service credits at our discretion. Refunds are not automatic and must be requested.
Price Changes
We may change subscription prices with 30 days' advance email notice. New prices apply to renewals after the notice period. If you disagree with price changes, you may cancel before they take effect.
Failed Payments & Grace Period
If payment fails, we may provide a grace period for you to update payment information. If payment is not resolved, your subscription may be downgraded to the free tier or suspended. Active safety protocols may stop functioning.
Taxes
You are responsible for all applicable taxes (VAT, sales tax, etc.) in your jurisdiction. Prices exclude taxes unless otherwise stated. Stripe calculates and collects applicable taxes at checkout.
6. Intellectual Property
Our Intellectual Property
All intellectual property rights in the Service (code, designs, trademarks, logos, documentation) are owned by Aegis Mark 1 or our licensors. The "CheckPoint" name, logo, and branding are our property. You may not copy, modify, distribute, or create derivative works without permission.
Your Content & Data
You retain ownership of all content and data you upload to the Service (contacts, messages, files, protocols). You grant us a limited license to store, process, and transmit your content solely to provide the Service.
Feedback & Suggestions
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate that feedback without compensation or attribution.
7. Account Suspension & Termination
User-Initiated Termination
You may delete your account at any time through account settings. Account deletion is immediate and irrevocable. Make sure to export your data before deletion if needed, as all data will be permanently deleted without possibility of recovery.
Our Termination Rights
We may suspend or terminate your account immediately for: Terms violations, prohibited uses, non-payment, illegal activity, harassment, false emergency alerts, or risk to Service integrity. We will attempt to notify you but are not required to provide notice in cases of serious violations.
Effect of Termination
Upon termination, you lose access to the Service immediately. Active safety protocols stop functioning. We are not liable for consequences of termination.
Survival of Terms
The following sections survive termination: Disclaimers & Limitations of Liability, Indemnification, Intellectual Property, Privacy provisions, Dispute Resolution, and any provisions that by their nature should survive.
8. Indemnification
You agree to indemnify, defend, and hold harmless Aegis Mark 1, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any laws or regulations
- Your violation of third-party rights (including contact consent violations)
- Content or data you upload to the Service
- Actions taken by your emergency contacts after receiving alerts
- Any false or fraudulent emergency alerts you send
- Disputes with other users or contacts
This indemnification survives termination of these Terms.
9. Privacy & Data Protection
Your privacy and data protection are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using CheckPoint, you consent to data processing as described in the Privacy Policy.

10. Service Availability & Changes
Uptime Target (Best Effort)
We strive for high availability but do NOT guarantee 100% uptime. We do not currently offer a formal SLA (Service Level Agreement). The Service is provided on a "best effort" basis.
Scheduled Maintenance
We may perform scheduled maintenance with advance notice when possible. Emergency maintenance may occur without notice. During maintenance, the Service may be temporarily unavailable.
Feature Changes
We may add, modify, or remove features at any time. We strive to improve the Service but may discontinue features that are underutilized or costly to maintain. We will provide reasonable notice for material changes.
Service Discontinuation
If we decide to discontinue CheckPoint entirely, we will provide at least 90 days' advance notice via email. You will have time to export your data and make alternative arrangements.
11. Dispute Resolution & Governing Law
Governing Law
These Terms are governed by the laws of France. Any disputes will be resolved under French law without regard to conflict of law principles.
Jurisdiction & Venue
You agree that any legal action or proceeding arising from these Terms or the Service shall be brought exclusively in the courts of Lyon, France. You consent to the personal jurisdiction of these courts.
Informal Resolution First
Before initiating formal legal proceedings, you agree to first contact us at legal@safety-checkpoint.com to attempt informal resolution. We commit to responding within 30 days and engaging in good-faith negotiations.
EU Consumers
If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence, as provided by EU consumer protection laws.
12. Changes to These Terms
Notification of Changes
We may update these Terms from time to time to reflect changes in our practices, legal requirements, or service features. We will notify you via email at least 30 days before material changes take effect. The "Last updated" date at the top of this page shows when changes were made.
Continued Use Constitutes Acceptance
Continued use of CheckPoint after the effective date of updated Terms constitutes your acceptance of the new Terms. If you disagree with changes, you may terminate your account before they take effect.
Material Changes
For significant changes affecting your rights or our liability, we may require explicit acceptance before you can continue using the Service.
13. Miscellaneous
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Aegis Mark 1 regarding the Service, superseding any prior agreements.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction (e.g., in case of merger or acquisition).
Language
These Terms are provided in English. In case of translations, the English version prevails in case of conflicts.
